BETHLEHEM, Pa., July 28, 1999 � The election, effective August 1, 1999, of Roger P. Penny and Gary L. Millenbruch to vice chairmen, and Duane R. Dunham to President and Chief Operating Officer of Bethlehem Steel Corporation, was announced today by Curtis H. Barnette, chairman and chief executive officer. Mr. Dunham was also elected to Bethlehem�s Board of Directors.

Roger P. Penny

In his new capacity, Mr. Penny will assist the chairman in the development of strategic initiatives and be responsible for oversight of Bethlehem�s joint ventures, major capital projects, technology, and engineering.

A native of Buffalo, N.Y., Mr. Penny holds a bachelor�s degree in administrative engineering from Union College and attended the Advanced Management Program at the University of Pennsylvania�s Wharton School of Business. He joined Bethlehem in 1958 as a member of the corporation�s management training program and was assigned to the Lackawanna, N.Y., plant. He was advanced to assistant superintendent of that plant�s primary mills department and subsequently assigned to the slabbing mill, structural mills, and bloom, billet, and rail department. He was appointed superintendent of Lackawanna�s environmental quality control department in 1976 and superintendent of the primary mills in 1977. Early in 1982, he was appointed superintendent of the hot-rolled and cold-rolled products department and later that year was promoted to senior manager of the plant.

He was named general manager of the Burns Harbor, Ind., plant in 1983. In 1986, he served as vice chairman of the Bethlehem Negotiating Committee during contract negotiations with the United Steelworkers of America.

Mr. Penny was elected senior vice president, steel operations, in March 1987 and elected to the Board of Directors in June 1991. Effective November 1, 1992, he was elected President and Chief Operating Officer.

Mr. Penny is a member of the American Iron and Steel Institute and a member of its Committee on Manufacturing. He is a member of the Board of Directors of the National Association of Manufacturers, the Board of Directors of Keep America Beautiful, Inc., the Board of Advisors of Union College, and serves as a member of the Board of Trustees, St. Luke�s Hospital. He is also a past president of the Minsi Trails Council of the Boy Scouts of America and was honored by the Council in May 1999 with the Distinguished Citizen Award.

Mr. Penny and his wife, Jute, reside in the Bethlehem area and are the parents of three adult children.

Gary L. Millenbruch

In his new capacity, Mr. Millenbruch will have the overall responsibility for Bethlehem�s financial activities and participate in the development of strategic initiatives. He will continue to serve as chief financial officer and treasurer.

A native of Marysville, Kan., Mr. Millenbruch graduated from Kansas State University in 1959 with bachelor of science degree in accounting. He completed the Advanced Management Program at Harvard Business School in 1983.

He joined Bethlehem Steel in 1959 as a member of the corporation�s management training program. Subsequently, Mr. Millenbruch advanced through various levels of responsibility and was elected assistant controller in 1977.

Mr. Millenbruch was elected controller in 1980, and to the additional position of vice president, accounting, in 1982. In 1984, he was also assigned group executive responsibility for the Information Services Department and the Marine Construction Group.

In 1985, Mr. Millenbruch was elected senior vice president and group executive, Steel-Related group, and assumed responsibility for Manufactured Products, Marine Construction, Natural Resources, and Information Services. In March, 1986, Mr. Millenbruch was elected senior vice president and chief financial officer. He was elected to the Board of Directors in June 1991. He was elected executive vice president and chief financial officer, effective November 1, 1992, and to the additional position of treasurer, effective September 1, 1994.

Mr. Millenbruch is a member of the American Iron and Steel Institute and is past chairman of its Committee on Accounting. He is also a member of the Financial Executives Institute and a past member of its Committee on Corporate Reporting and the Board of Trustees of its Financial Executives Research Foundation. He also serves on the Chief Financial Officers� Advisory Council of the Metropolitan area of New York City and is a member of the Delaware Valley Financial Executives Group. He is a member of the Saucon Valley Country Club, and a former member of its Board of Governors and Chairman of its Audit Committee. He is a member of the Advisory Board of the Minsi Trails Council of the Boy Scouts of America, and a former Treasurer and member of the Executive Committee of the Board. He currently serves as a member of the Board of the National Museum of Industrial History, as Vice President of the Board of Trustees of the Allentown Art Museum, as a member of the Executive Committee of the Board of Associates for Muhlenberg College and is a member of the Finance Advisory Board of Kansas State University, where he has previously served as President of the Board.

Mr. Millenbruch and his wife, Mary Ann, reside in the Bethlehem area.

Duane R. Dunham

In his new capacity, Mr. Dunham will be responsible for Bethlehem�s operating, commercial, and business development activities. Mr. Dunham currently serves as executive vice president, commercial and business development. He previously served as president of Bethlehem�s Sparrows Point, Md., Division from 1993 to 1998.

A native of Birmingham, Mich., Mr. Dunham received a bachelor of science degree in administration in 1964 from Western Michigan University and a master of science degree in administration from Pennsylvania State University in 1969. He completed the Advanced Management Program at Stanford University�s Graduate School of Business in 1991.

Mr. Dunham joined Bethlehem Steel in 1965, and first served as a salesman in Buffalo, N.Y. He was transferred to Bethlehem, Pa., in 1971 as a salesman in the galvanized and specialty sheet sales division, in which he later served as product specialist, assistant manager, and manager.

In 1986, Mr. Dunham was promoted to general manager of marketing services, and the following year advanced to general manager, tin mill products sales and marketing. He was named general manager, marketing, in 1988. Mr. Dunham was elected vice president, marketing, in 1990. In January, 1993, he was elected president, Sparrows Point Division and was named to his current position on January 1, 1999.

He is a member of the American Iron and Steel Institute and served as the North American representative for the Committee for Promotion and Market Development of the International Iron and Steel Institute. In the community, while a resident of Maryland, he was a member of the Boards of Directors of the United Way of Central Maryland, Maryland Chamber of Commerce, the Maryland Business Roundtable for Education, and the Executive Council of Junior Achievement for Central Maryland.

Mr. Dunham and his wife, Glenna, reside in the Bethlehem area and are the parents of three adult children.
